TERMS AND CONDITIONS AGREEMENT
AReferrals is a service provided by Intellectmap Corporation. The
websites and services provided at www.areferrals.com,
www.intellectmaps.com, www.intellectmap.com, www.intellectgift.com are
hereinafter referred to as the �Intellectmap� website and service. These
Terms of Service together with Intellectmap's Privacy Statement located
at www.areferrals.com/privacy.htm (collectively the "Terms") govern
your use of the Intellectmap website and service.
The content within the Intellectmap system is growing daily; however,
you understand and agree that it may not be able to find companies
providing the particular services you need. By using the Intellectmap
website and service you are fully accepting the terms, conditions and
disclaimers contained in this notice. If you do not accept these Terms
and Conditions you must immediately stop using the Intellectmap website
and service. You agree not to use the Intellectmap website and service
for any purpose that is unlawful or prohibited by these Terms and
Conditions.
CONTRACTING & GUARENTEES

provide services you need, however, all information is provided without
any guarantee or warranty of any kind. Your use of the information is at

responsible for, any of the services requested by you from these
companies. Your rights under contracts you enter into with these

or representations of such companies or the quality of the work
performed by them for you if you decide to retain their services.
Intellectmap does not endorse or recommend the services of any other
company. It is entirely up to you to evaluate the qualifications of
other companies, and to enter into a direct contract or otherwise reach
agreement with them. We do not guarantee or warrant the outcome or
quality of the services performed by other companies which you become
aware of in using the Intellectmap website or service. Intellectmap is
not an agent of these companies, nor are these companies agents of
Intellectmap.
In the event you and Intellectmap agree to a Statement Of Work (SOW),
you understand that this SOW requires a signature from you and
Intellectmap. You further understand and agree that an Intellectmap SOW
is governed by Intellectmap's �Standard Services Agreement� (SSA). This
SSA is located at https://www.intellectmap.com/ssa.htm and is hereby
incorporated by reference, and included as part of this agreement.
LINKS TO THIRD PARTY WEBSITES
The Intellectmap website and service may include links to third party
websites that are controlled and maintained by others. Any link to other
websites is not an endorsement of such websites and you acknowledge and
agree that we are not responsible for the content or availability of
any such sites.
USER CONTENT
You understand that all Ratings and Reviews of companies displayed to
you reflect the opinions of other consumers, and do not reflect or
represent the opinions or representations of Intellectmap. Intellectmap
does not assume responsibility or liability for any Rating, Review or
other user generated content or for any claims, damages, or losses
resulting from the use of this content on the Intellectmap website or
service or within the materials contained therein. You agree that all of
the content and information provided by you including but not limited
to Ratings and Reviews, Comments, Questions and/or Answers will be based
upon your our actual first-hand experiences with the companies you are
reviewing or rating and that it is accurate, truthful and complete in
all respects.
You acknowledge and agree that any Content you post or provide may be
viewed by the general public and will not be treated as private,
proprietary or confidential. By posting or providing any Content you
represent and warrant to Intellectmap that you own or have all necessary
rights to provide the Content. You authorize Intellectmap and its
affiliates, licensees and sub-licensees, without compensation to you or
others, to copy, adapt, create derivative works of, reproduce,
incorporate, distribute, publicly display or otherwise use or exploit
such Content throughout the world in any format or media (whether now
known or hereafter created) for the duration of any copyright or other
rights in such Content, and such permission shall be perpetual and may
not be revoked for any reason. Further, to the extent permitted under
applicable law, you waive and release and covenant not to assert any
moral rights that you may have in any Content posted or provided by you.
You hereby grant Intellectmap a perpetual, non-exclusive, royalty-free,
transferable, assignable, sub-licensable, worldwide license to use,
store, display, reproduce, modify, create derivative works, perform,
distribute, print, publish, and disseminate your Content and such
permission shall be perpetual and cannot be revoked for any reason.
DISCLAIMERS AND LIMITATION OF LIABILITY
The website and service is provided on an AS IS and AS AVAILABLE basis
without any representation or endorsement made and without warranty of
any kind whether express or implied, including but not limited to the
implied warranties of satisfactory quality, fitness for a particular
purpose, non-infringement, compatibility, security and accuracy.
To the extent permitted by law, Intellectmap will not be liable for any
indirect or consequential loss or damage whatever (including without
limitation loss of business, opportunity, data, profits) arising out of
or in connection with the use of the website and service.
Intellectmap makes no warranty that the functionality of the website or
service will be uninterrupted or error free, that defects will be
corrected or that the website or the server that makes it available are
free of viruses or anything else which may be harmful or destructive.
Nothing in this website disclaimer will exclude or limit any warranty
implied by law that it would be unlawful to exclude or limit; including
death or personal injury caused by fraud or fraudulent misrepresentation
on the part of Intellectmap.
INDEMNITY
You agree to indemnify and hold Intellectmap and its employees and
agents harmless from and against all liabilities, legal fees, damages,
losses, costs and other expenses in relation to any claims or actions
brought against Intellectmap arising out of any breach by you of these

the Intellectmap website and its content (including without limitation
the website design, text, graphics and all software and source codes
connected with the website) are owned by or licensed to Intellectmap or
otherwise used by Intellectmap as permitted by law.

access the content solely for your own use. You acknowledge and agree
that you will not access, reproduce, duplicate, copy, sell, re-sell,

SEVERANCE
If any of these Terms and Conditions should be determined to be invalid,
illegal or unenforceable for any reason by any court of competent
jurisdiction then such Term or Condition shall be severed and the
remaining Terms and Conditions shall survive and remain in full force
and effect and continue to be binding and enforceable.
WAIVER
If you breach these Conditions of Use and we take no action, we will
still be entitled to use our rights and remedies in any other situation
where you breach these Conditions of Use.
GOVERNING LAW
These Terms and Conditions shall be governed by and construed in
accordance with the law of the State of Maryland and you hereby submit
to the exclusive jurisdiction of the State of Maryland courts.
CHANGES
Intellectmap reserves the right to:
1. change or remove (temporarily or permanently) the website and service
or any part of it without notice and you confirm that Intellectmap
shall not be liable to you for any such change or removal and.
2. change these Terms and Conditions at any time, and your continued use
of the website and services following any changes shall be deemed to be
your acceptance of such change.
